End-User License Agreement — Kaizen Ops
Effective Date: October 5, 2026
This End-User License Agreement ("Agreement") covers Kaizen Ops, an internal software application owned and operated by KAIZEN CPAs PLLC, doing business as Kaizen CPAs + Advisors ("Kaizen," "we," "us"), Antioch, Illinois. By authorizing Kaizen Ops to connect to your QuickBooks Online company file, you ("you," "your business") agree to this Agreement.
1. What Kaizen Ops is. Kaizen Ops is a tool Kaizen uses to deliver the accounting, bookkeeping, tax, and advisory services you engaged us for, through Intuit's official QuickBooks Online API. It is not sold, licensed, or distributed to the public, and there is no separate charge for it. It is part of how Kaizen does the work in your engagement letter.
2. License and authorization. You grant Kaizen permission to connect Kaizen Ops to your QuickBooks Online file and to access your accounting data as described in our Privacy Policy, for the purpose of performing the services you engaged us for. You may revoke this authorization at any time from your QuickBooks Online "Connected apps" settings or by asking us.
3. Your responsibilities. Only authorize the connection for a company file you own or are authorized to manage. Keep your own QuickBooks and Intuit login credentials secure; Kaizen never asks for your password. Tell us promptly if you believe access should be changed or removed.
4. Intuit's terms. QuickBooks Online is Intuit's product and your use of it is governed by your agreement with Intuit. Intuit is not a party to this Agreement and is not responsible for Kaizen Ops.
5. Ownership. Kaizen Ops, including its code and configuration, belongs to Kaizen or is used by Kaizen under license. Your accounting data belongs to your business.
6. No warranty. Kaizen Ops is provided "as is." We work carefully, but we do not promise the app will be error-free or uninterrupted. Your engagement letter with Kaizen governs the professional services themselves.
7. Limitation of liability. To the fullest extent the law allows, Kaizen's total liability arising from Kaizen Ops is limited to the fees you paid Kaizen for the services in the three (3) months before the claim arose, and Kaizen is not liable for indirect, incidental, or consequential damages. Nothing in this section changes the terms of your engagement letter.
8. Termination. This Agreement ends when the connection is revoked or your engagement with Kaizen ends. Sections 5 through 7 survive termination.
9. Governing law. This Agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law rules.
